Those members can inspect the laws rules are intended to prevent
embezzlement.  And that stuff happens with non-profits.  Frequently, and it
creates a terrible chaos when it does.  The law give non-profits great
freedom in how they want to make their internal decisions, but in
California the law does not allow a non-profit to do away with the "members
can inspect the books within reason" type of  safeguard from embezzlement.
