doesn't make if if
a super-majority of the board members did agreed to the proposal, but that
agreement happened outside of the context of a board meetings.
and ....the timing wasn't the same as the time for regular board meetings.


Usually things that board members agree upon outside of a meeting don't
become official until done at a meeting
